Affiliate Program Terms & Conditions

1. Program Overview

Welcome to the BoostBusinessUK Affiliate Program ("Program"). By participating in this Program, you ("Affiliate") agree to promote Lopay payment processing services ("Services") to businesses in the United Kingdom and United States in exchange for commissions as outlined in these Terms & Conditions ("Terms").

The Program is operated by BoostBusinessUK ("Company", "we", "us", or "our"). These Terms govern your participation in the Program and constitute a legally binding agreement between you and the Company.

2. Commission Structure

2.1 Revenue Share

Affiliates earn 50% of revenue generated* from each successfully referred merchant. Revenue is calculated as Lopay's processing fees collected from the merchant's transactions.

2.3 Recurring Commissions

Commissions are recurring for the lifetime of the merchant relationship. As long as the referred merchant continues processing payments through Lopay, you continue earning 50% of the revenue generated.

2.4 Commission Eligibility

To qualify for commissions, the referred merchant must:

• Sign up using your unique affiliate referral link
• Complete the Lopay onboarding process
• Process their first transaction within 90 days of signup
• Remain in good standing with Lopay (no fraud, chargebacks, or policy violations)

3. Payment Terms

3.1 Payment Schedule

Commissions are calculated monthly and paid within 30 days of the end of each calendar month, provided your account balance meets the minimum payout threshold of £50 (or $75 USD).

3.2 Payment Methods

Payments are made via:

• Bank transfer (UK: Faster Payments, US: ACH)
• PayPal
• Wise (for international affiliates)

3.3 Tax Responsibility

You are solely responsible for all taxes associated with commission payments. The Company will provide necessary tax documentation (1099-MISC for US affiliates, payment statements for UK affiliates) as required by law.

4. Affiliate Responsibilities

4.1 Promotional Guidelines

Affiliates must promote Lopay services in a professional, honest, and ethical manner. You agree to:

• Accurately represent Lopay's services, pricing, and features
• Not make false, misleading, or exaggerated claims
• Not engage in spam, unsolicited emails, or deceptive marketing practices
• Comply with all applicable laws, including CAN-SPAM Act, GDPR, and UK PECR
• Not bid on Lopay brand terms in paid search advertising
• Not use Lopay trademarks without prior written approval

4.2 Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

• Self-referrals or referring businesses you own/control without disclosure
• Cookie stuffing or other fraudulent tracking methods
• Incentivizing signups with cash, gift cards, or other rewards
• Impersonating Lopay or Company employees
• Using automated bots or scripts to generate fake referrals

5. Tracking & Attribution

5.1 Referral Links

Each affiliate receives a unique referral link containing their affiliate code. Referrals are tracked via cookies with a 90-day attribution window. If a merchant clicks your link and signs up within 90 days, you receive credit for the referral.

5.2 Last-Click Attribution

We use a last-click attribution model. If a merchant clicks multiple affiliate links, the last affiliate link clicked before signup receives the commission.

6. Program Modifications & Termination

6.1 Program Changes

The Company reserves the right to modify commission rates, payment terms, or Program rules at any time with 30 days' notice. Continued participation after changes constitutes acceptance of the new terms.

6.2 Termination

Either party may terminate this agreement at any time with 30 days' written notice. The Company may terminate immediately for violations of these Terms. Upon termination:

• You must cease all promotional activities
• Outstanding commissions will be paid according to the normal schedule
• Recurring commissions from existing referrals will continue for 12 months post-termination

7. Confidentiality & Data Protection

Affiliates must maintain the confidentiality of any proprietary information, merchant data, or commission details. You agree to comply with GDPR, UK Data Protection Act 2018, and other applicable data protection laws when handling merchant information.

8. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
